Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the AffRef affiliate-marketing platform, website, dashboard, tracking script and related services (collectively, the "Service") operated by AffRef ("AffRef," "we," "us," or "our"). By creating an account or using the Service you agree to these Terms.

1. Eligibility & account

You must be at least 18 years old and able to enter a binding contract. You are responsible for the activity on your account and for keeping your credentials secure. Notify us immediately at [email protected] if you suspect unauthorized access.

2. Subscriptions & trials

The Service is offered on a subscription basis. New merchant accounts receive a 7-day free trial. After the trial ends, your selected plan will renew automatically at the published price (monthly or yearly) until you cancel. You authorize us and our payment processor (Stripe) to charge your payment method for each renewal.

3. Cancellation & refunds

You may cancel your subscription at any time from your billing dashboard. Cancellation takes effect at the end of your current paid period — you keep access until then and the subscription does not renew. We do not pro-rate cancellations.

A full refund is available within 14 days of your first charge, no questions asked. After 14 days, refunds are not available. See our Refund Policy for full detail.

4. Your data & your customers

You retain ownership of all merchant, affiliate, click and conversion data you submit to the Service. You grant us a limited licence to process that data solely to provide the Service. You are responsible for obtaining any consent legally required from your shoppers and affiliates for our tracking and processing. See our Privacy Policy for details.

5. Acceptable use

You agree not to: (a) use the Service to track or attribute conversions for businesses you don't own or operate; (b) attempt to reverse engineer, scrape, or overload the Service; (c) submit malware, illegal content, or content that infringes another party's rights; or (d) use the Service in any way that violates applicable law, the Stripe or Shopify terms, or the rules of your payment processor.

6. Plan limits & fair use

Each plan has published limits (brands, affiliates per brand, integrations, features). The Service is sized around those limits as a reasonable upper bound for the plan tier. We reserve the right to limit abusive or excessive usage, to throttle requests that materially exceed intended plan capacity, and to recommend or require a plan upgrade where platform usage materially exceeds the limits or intended use of your current plan. We will give you at least 30 days' written notice and an opportunity to either upgrade or reduce usage before any account restriction takes effect, except in cases of clear abuse (e.g. fraudulent activity, scraping, or attempts to circumvent plan limits).

7. AffRef is software — not a party to your relationships

AffRef provides infrastructure (tracking, attribution, dashboards, reporting, integrations). The relationships between you and your affiliates, between you and your customers, and between you and any third-party platform (Stripe, Shopify, Klaviyo, etc.) are solely between those parties. AffRef is not a party to and is not responsible for:

• the contract or agreement between you and any affiliate (including the program terms, commission rates, approval/rejection decisions, payment timing, or termination of affiliates)
• any dispute, claim, complaint, refund request, chargeback, fraud event, or regulatory action arising from your program, your products, or your affiliates’ promotional activity
• any representation, claim, advertisement, or endorsement made by you or any of your affiliates
• any taxes, withholdings, 1099, W-8/W-9, payroll, employment classification, or other regulatory filings associated with your program

We make no representation, warranty, or guarantee about the suitability of the Service for any specific affiliate program, jurisdiction, or industry. You are responsible for ensuring your use of the Service complies with applicable law.

8. Affiliate program terms (your responsibility)

The Service lets you draft, store, and display affiliate program terms to your affiliates and record their acceptance. AffRef does not review, approve, endorse, draft, or enforce your program terms. Any starter template or default content we provide (including the seeded T&C template inside Program Settings) is for convenience only, is not legal advice, and is not warranted as suitable for your jurisdiction, business model, or program.

You are solely responsible for: (a) the legal sufficiency of your program terms under applicable law (FTC, ASA, GDPR, CCPA, tax, advertising, consumer-protection, sanctions, etc.); (b) reviewing your program terms with qualified legal counsel before launch; (c) enforcing your program terms with your affiliates (banning rule-breakers, withholding commissions, taking legal action); and (d) updating your program terms when applicable law changes.

9. Affiliate payouts — no money custody

AffRef provides the software you use to track commissions. AffRef does not pay your affiliates and does not take custody of any funds. Commission payments flow directly between you and your affiliates via the payment methods you configure (PayPal, Wise, bank transfer, Stripe Connect, etc.). AffRef is not a payment processor, money transmitter, escrow agent, or financial institution. You are solely responsible for calculating, approving, and disbursing payouts, and for any taxes, withholdings, fees, currency conversion, sanctions screening, or compliance obligations.

10. Affiliates are not AffRef agents

Affiliates who sign up to your program through AffRef-hosted pages are your affiliates — not AffRef employees, agents, partners, or contractors. AffRef has no authority over your affiliates and assumes no liability for their conduct, content, claims, or disputes with you or with third parties.

11. Indemnification

You agree to defend, indemnify, and hold harmless AffRef, its officers, employees, contractors, and affiliates from and against any claim, loss, liability, damage, fine, penalty, or expense (including reasonable attorneys’ fees) arising from or related to:

• your breach of these Terms or applicable law
• your affiliate program terms, decisions, or enforcement (or failure to enforce)
• any claim by an affiliate against you (commission disputes, employment classification, payout disputes, etc.)
• any promotional content, claim, representation, or endorsement made by you or your affiliates
• your tax, regulatory, advertising, or data-protection obligations
• any third-party claim that your products, services, or promotional activity infringe their rights

12. Service availability

We work hard to keep the Service up but do not guarantee uninterrupted availability. We may modify, suspend or discontinue parts of the Service with reasonable notice where practical.

13. Termination

We may suspend or terminate your account if you breach these Terms, abuse the Service, or fail to pay. On termination, you lose access to the dashboard and tracking. We may retain backups in accordance with our Privacy Policy.

14. Disclaimer & liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, our total liability for any claim arising from your use of the Service is limited to the fees you paid us in the three months before the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost goodwill, lost data, or any liability you incur to your affiliates, customers, or any third party.

15. Changes to these Terms

We may update these Terms occasionally. Material changes will be communicated by email or in-app notice. Continued use of the Service after the effective date constitutes acceptance.
